What this is
The QSBS File is a free organizational tool. It interviews you, assembles a personalized evidence checklist, and helps you gather documents that may be relevant to claiming benefits under federal tax rules such as IRC §§1202 and 1045.
It is not a law firm, CPA firm, broker, or tax preparer. It does not give legal, tax, or accounting advice. It does not determine whether your stock is qualified small business stock. Only you and your own advisor can do that.
The taxpayer bears the burden of proof. This product exists so the proof can exist. It does not create eligibility, file a return, or represent you before the IRS.
Your account
You must provide an accurate email and keep your sign-in codes to yourself. You are responsible for activity under your account.
You may use the service only for lawful purposes and only for records you have the right to store. Do not upload malware, other people's confidential files, or anything you do not own or have permission to keep.
We may suspend or close accounts that abuse the service, threaten security, or violate these terms.
Your files
You retain whatever rights you already have in the documents and answers you provide. You grant us a limited license to host, display, and process them solely to operate The QSBS File for you.
You are responsible for whether the file is complete, accurate, and kept as long as tax law requires. We are not your records custodian of last resort. Keep your own copies.
No professional relationship
Using this site does not create an attorney-client, accountant-client, or fiduciary relationship.
Availability
The service is provided “as is,” free, and may change or stop. We do not promise uninterrupted access, that checklists are exhaustive, or that following the product will produce a particular tax result.
If something goes wrong
The QSBS File is free. If using it costs you money — a tax bill, a penalty, a missed deadline, lost files, or any other follow-on loss — we are not responsible for that. The most we would ever owe you for a claim about the service is $100. Some places do not let a company limit responsibility this way; where the law says we cannot, this paragraph only goes as far as it is allowed to.

Changes
